Governance Statement

The Board of Directors of Fathom Holdings Inc. sets high standards for the company's employees, agents, officers and directors. Implicit in this philosophy is the importance of sound corporate governance. It is the duty of the Board of Directors to serve as a prudent fiduciary for shareholders and to oversee the management of the company's business. To fulfill its responsibilities and to discharge its duty, the Board of Directors follows a set of procedures and standards that are set forth in the Board’s guidelines. These guidelines are subject to modification from time to time as the Board of Directors deems appropriate in the best interests of the company or as required by applicable laws and regulations.

Marco Fregenal

Fregenal has served as Fathom's CFO since 2012 and its President since 2018. Previously, Fregenal served as the Company's Chief Operating Officer (COO) from 2012 through 2017. He has served on Fathom's Board since 2019 and is a proven leader with extensive experience overseeing Fathom's operations. Under his leadership, Fathom has diversified its market presence, delivered innovative sustainable technologies, and completed multiple acquisitions, which have collectively contributed to record results.

Scott N. Flanders

Scott N. Flanders

Scott Flanders has served on the company’s board since August 2022. Most recently, he was the Chief Executive Officer of eHealth, Inc. from May 2016 to October 2021, including as a member of its board of directors from February 2008 to October 2021. From January 2006 to June 2009, Flanders served as the President and Chief Executive Officer of Freedom Communications, Inc., including as a member of its board of directors from 2001 to 2009. Before that, Flanders served as Chairman and Chief Executive Officer of Columbia House Company, which was acquired by Bertelsmann AG in July 2005.  Flanders currently serves on the board of directors of Deepwell, Inc., 890 5th Avenue Partners, Inc. and 200 Park Avenue Partners, LLC, and served as a strategic board advisor to AloeCare Health, Inc. and BetterHealth. Flanders received a B.A. degree in economics from the University of Colorado, and a J.D. from Indiana University. He is a Certified Public Accountant. Flanders’ executive management and operations expertise, and his background in law and accounting, qualify him to serve as one of Fathom’s directors.

Ravila Gupta

Ravila Gupta has served on Fathom’s Board since March 2021. Gupta has over 10 years of executive experience in corporate managerial roles. Since April 2020, Gupta has served as President and Chief Executive Officer of Bagchi Group, Inc., a private company providing business strategy, financial services, and board and executive coaching support to businesses. From April 2017 to April 2020, she served as President and Chief Executive Officer of Council for Entrepreneurial Development, a non-profit organization dedicated to the development of entrepreneurs and their businesses, and from July 2012 to April 2017, Gupta served as President of Umicore USA Inc, a global materials technology and recycling group. Gupta currently serves in an advisory board role at Primo Partners LLC, a real estate and Ben & Jerry’s franchise development company, and previously served in an advisory role from October 2019 to December 2020 at Bennett Aerospace, Inc., an engineering and development company.  Gupta has served on the board of Marsh Cabinets, a privately held cabinetry company located in High Point, North Carolina since 2023. Ms. Gupta received a B.E. and a M.E. from McGill University. She received her J.D. from North Carolina Central University.  Gupta’s significant background in executive management qualifies her to serve as one of the company’s directors.

David C. Hood

David C. Hood

David Hood has served on the company’s board since May 2019. He was an audit partner at Ernst & Young from 2005 until his retirement in 2015. Prior to that, Hood was the Vice President, Finance at Quintiles Americas, currently known as IQVIA Holdings Inc, a leading global provider of contract research services, from 1993 to 2000, where he helped take the company public. Hood received a bachelor’s degree in accounting from Guilford College and is a Certified Public Accountant. His experience in taking organizations public, raising capital, merger and acquisition transactions and financial acumen, qualify him to serve as one of the company’s directors.

Stephen Murray

Stephen Murray

Stephen Murray has served on the company’s board since July 2023. Since December 2020, he has served as a senior advisor to HW Media.  Murray has been a co-founder, partner and senior advisor at REAL Trends Consulting, Inc., from 1987 to present.  From 1987 to 2020, he was a co-founder and served as President of REAL Trends, Inc., the nation’s leading trends newsletter that reaches over 54,000 readers each week and covers trends, events and strategies affecting the brokerage industry primarily in North America.  REAL Trends, Inc. also hosts the annual REAL Trends Gathering of Eagles conference attended by 300 real estate industry CEO’s.  From 1994 to 2018, Murray published five periodicals on mergers and valuations, “A Guide to Mergers, Acquisitions and Roll-Ins,” “Valuing a Residential Real Estate Brokerage,” “Valuing a Residential Realty Firm,” “Valuing a Residential Realty Firm”, and “Valuing Small to Medium Sized Realty Firms in 2018.”  From May 1, 1992 to February 28, 1993, Murray served as the founder of InterAsset Group Inc.  From 1979 to 1991, he served in various leadership roles.  From 2003 to present, Murray has testified as an expert witness on industry practices.  He received his BBA in 1975 from Marshall University.  Murray’s extensive experience in the residential and brokerage industry qualifies him to serve as one of the company’s directors.

Glenn A. Sampson

Glenn A. Sampson

Glenn Sampson has served on the company’s board since February 2019. He served in various positions at Exxon Mobil Corporation from 1965 until his retirement in 2000, with his most recent position being Manager, Data Management, in the Controller’s Department. Since retirement, he has served in various volunteer roles. Sampson received his bachelor’s degree from Stanford University and a M.B.A. from Northwestern University. His more than five decades of general and financial management experience qualify him to serve as one of the company’s directors.

Jennifer B. Venable

Jennifer B. Venable

Jennifer Venable has served on the company’s board since February 2019. From April 2013 to present, she has served as Vice President and General Counsel at Capitol Broadcasting Company, Inc. From September 2009 to April 2013, Venable was General Counsel at Alfresco Software, Inc. Prior to that, she served as Commercial Counsel and Senior Partner Manager of Red Hat, Inc. from September 2002 to July 2009, as in-house counsel for an internet start-up, and in private practice. Venable received her bachelor’s degree in government and sociology from The College of William and Mary, and her J.D. from The University of North Carolina at Chapel Hill. Ms. Venable’s experience with complex legal issues, corporate governance, international business and project management qualify her to serve as one of the company’s directors.
